Terms of Service

These Terms of Service ("Terms") govern your access to and use of submittalshop.com (the "Site") and the submittal preparation, shop drawing, transmittal, and related documentation services offered by SubmittalShop ("SubmittalShop," "we," "our," or "us") (collectively, the "Services"). By accessing the Site, submitting a project request, or otherwise engaging the Services, you agree to be bound by these Terms. If you are agreeing to these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

1. Description of Services

SubmittalShop provides drafting, documentation, and submittal-preparation services based on the architectural, engineering, and project specifications provided by the client, including submittal packages, shop drawings, product data compilations, transmittals, RFI drafting and tracking, and related project-support documentation. Our deliverables are intended solely to assist subcontractors, general contractors, and other AEC professionals in the submittal review and approval process, and do not constitute engineering, architectural, or construction services.

2. Quotes, Pricing, and Payment

Quotes are provided based on the scope, drawings, and specifications you submit at the time of your request and are subject to revision if the scope of work changes materially once drafting has begun. Unless otherwise agreed in writing, we operate on a pay-for-what-you-need basis: pricing is scoped to the specific package, sheet count, or division requested, with no recurring subscription fees. Payment terms, methods, and any deposit requirements will be confirmed in your project proposal or invoice. Fees for approved change orders or out-of-scope revisions will be communicated before additional work begins.

3. Client Responsibilities

• You are responsible for providing accurate, current, and complete project documents, specifications, and scope information necessary to prepare your deliverables.
• You are responsible for reviewing all deliverables prior to submission to the Architect of Record ("AOR") or Engineer of Record ("EOR"), and for obtaining any internal approvals required before submission.
• You are solely responsible for verifying all field dimensions, site conditions, quantities, and code applicability prior to fabrication, procurement, or installation.

4. Use of Project Information

By submitting project documents, plans, specifications, or any other information to SubmittalShop, you grant us and our authorized drafting personnel a limited license to use, study, copy, and distribute these materials strictly for the purpose of preparing the deliverables you have requested. We will not use your project information for any other commercial purpose without your explicit consent, and confidentiality obligations applicable to this information are further described in our Privacy Policy.

5. Intellectual Property

Underlying design intent, architectural concepts, and engineering content remain the property of their respective owners (the AOR, EOR, or project owner, as applicable). Upon full payment for a completed deliverable, you receive the right to use that deliverable for its intended purpose on the applicable project. SubmittalShop retains ownership of its internal templates, tools, and proprietary drafting standards, and nothing in these Terms transfers ownership of such tools or standards to you.

6. Limitation of Liability (Design & Execution)

SubmittalShop is a drafting and documentation service and is not a licensed engineering or architectural firm. We do not provide structural engineering, architectural design, or life-safety evaluations, and no deliverable we produce should be relied upon as such.

• No Design Liability: We are not liable for any design flaws, structural integrity issues, or code violations inherent in the original project documents or arising during the fabrication or installation process.
• No Construction Liability: We are not responsible for the execution of construction, field measurements, site safety, or the means, methods, techniques, sequences, or procedures of construction.
• Verification Required: The client and its field personnel are solely responsible for verifying all dimensions, field conditions, and quantities prior to fabrication and installation.
• Cap on Liability: To the fullest extent permitted by applicable law, SubmittalShop's total liability arising out of or relating to the Services shall not exceed the total fees paid by you for the specific deliverable giving rise to the claim.
• No Consequential Damages: In no event will SubmittalShop be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or project delay costs, arising out of the Services.

7. Approval Process & Discretionary Use

All shop drawings, product data, and submittal packages prepared by SubmittalShop are generated for the express and sole purpose of review and approval by the project's Architect of Record or Engineer of Record.

Even after a deliverable receives an "Approved" or "Approved as Noted" status from the AOR/EOR, the client utilizes the deliverable at its own discretion and risk. Approval of a submittal does not relieve the contractor or subcontractor of its responsibility to comply with the original contract documents, nor does it transfer design liability to SubmittalShop.

8. Revisions and Modifications

We will perform revisions based on AOR/EOR review comments as outlined in your project proposal at no additional charge, provided the revisions fall within the original scope. Revisions resulting from changes in architectural design, field conditions, project scope, or client preference after the initial drafting phase may be treated as a change order and subject to additional fees, which will be communicated to you before work begins.

9. Termination

Either party may terminate an engagement for a given project upon written notice if the other party materially breaches these Terms and fails to cure such breach within a reasonable time after notice. Upon termination, you remain responsible for payment for work performed up to the effective date of termination.

10. Indemnification

You agree to indemnify, defend, and hold harmless SubmittalShop, its officers, directors, employees, agents, and drafting partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our deliverables in the physical construction, fabrication, or installation process, or your breach of these Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the state in which SubmittalShop is organized, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties, and if unresolved, may be brought in a court of competent jurisdiction in that state.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, or applicable law. The "Effective Date" at the top of this page indicates when these Terms were last revised. Continued use of the Site or Services after such changes constitutes acceptance of the updated Terms.
